1. Agreement to These Terms

These Terms of Service govern your access to and use of Authello, including our website, applications, hosted services, account features, and related support. By creating an account, joining an organisation, or using Authello, you agree to these terms.

If you use Authello on behalf of a company, charity, public body, or other organisation, you confirm that you have authority to accept these terms for that organisation.

2. The Authello Service

Authello provides tools for organisations to store, organise, and share access to passwords, OTP records, and related authentication information. Features may include organisations, groups, invitations, role management, encrypted records, audit information, and billing controls.

We may improve, add, remove, or change features over time. We will try to avoid changes that materially reduce paid functionality without reasonable notice.

3. Accounts, Organisations, and Admins

You are responsible for the accuracy of information you provide, the security of your account, and all activity that occurs through your account. Organisation owners and admins are responsible for managing users, groups, permissions, billing, and access grants inside their organisation.

If you are invited into an organisation, your access may be changed or removed by that organisation's admins. If you leave an organisation, you may lose access to records and groups connected with it.

4. Security and Encryption Responsibilities

Authello is designed for secure access management, but security depends on both the platform and its users. You must keep your login credentials, devices, recovery materials, private keys, and administrative permissions secure. You must promptly tell us about suspected unauthorised access, compromised accounts, or security issues affecting Authello.

You understand that some encrypted content may not be recoverable if required keys, recovery material, or authorised access are lost. We are not responsible for losses caused by weak passwords, compromised devices, incorrect permissions, mishandled keys, or unauthorised sharing by your users.

5. Customer Data and Privacy

Your organisation retains ownership of the content it submits to Authello. You grant us the limited rights needed to host, secure, process, transmit, back up, and support the service. We do not sell customer vault content.

Our handling of personal data is described in our Privacy Policy. You are responsible for ensuring that your use of Authello complies with laws that apply to your organisation and its users.

6. Acceptable Use

You must not use Authello to break the law, violate rights, attack systems, distribute malware, run spam or phishing activity, abuse our infrastructure, bypass usage limits, reverse engineer the service except where legally permitted, or interfere with other customers.

You must not add content to Authello unless you have the right to store and use it. You are responsible for ensuring that access to sensitive records is limited to appropriate users.

7. Subscriptions, Billing, and Cancellation

Paid plans, usage limits, fees, billing intervals, taxes, and renewal terms are shown during checkout, in your account, or in an agreed order form. Fees are charged using the payment method you provide. Unless we state otherwise or the law requires it, paid fees are non-refundable once charged.

You may cancel a subscription according to the controls available in Authello or by contacting support. Cancellation normally stops future renewal charges, but it does not automatically remove your responsibility for outstanding fees.

8. Availability, Support, and Changes

We aim to keep Authello available and reliable, but we do not guarantee uninterrupted service. Maintenance, security updates, third-party outages, browser changes, network issues, or events outside our control may affect availability.

Support is provided through the channels and response expectations available for your plan. We may update these terms when the service or law changes. Material updates will be posted on this page or communicated through reasonable channels.

9. Intellectual Property

Authello, including the software, design, branding, documentation, and platform materials, belongs to Authello or its licensors. These terms do not transfer ownership of Authello intellectual property to you.

You may provide feedback or suggestions. We may use that feedback to improve Authello without owing compensation, while you continue to own your underlying ideas and data.

10. Third-Party Services

Authello may rely on third-party services for hosting, payments, email delivery, analytics, authentication, browser functionality, or other platform operations. Your use of those third-party services may be subject to their own terms and policies.

11. Suspension and Termination

We may suspend or terminate access if we reasonably believe there is unlawful use, security risk, non-payment, abuse of the service, or a breach of these terms. Where practical, we will provide notice and a chance to fix the issue, but urgent security or legal risks may require immediate action.

You may stop using Authello at any time. Some terms, including payment obligations, ownership, confidentiality, disclaimers, limits of liability, and dispute provisions, continue after account closure where needed.

12. Disclaimers and Liability

Authello is provided with reasonable care and skill, but it is not a substitute for your own security governance, access reviews, backups, staff training, legal compliance, or incident response. Except where the law does not allow it, the service is provided without warranties that it will be error-free, uninterrupted, or meet every requirement.

Nothing in these terms limits or excludes liability that cannot legally be limited or excluded, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that applicable law does not allow us to limit or exclude.

Subject to the paragraph above, Authello will not be liable for indirect, incidental, special, consequential, or punitive losses, including lost profits, loss of business, loss of goodwill, or loss caused by unauthorised access resulting from your users, devices, credentials, keys, recovery materials, or permissions.

Subject to the same paragraph above, Authello's total aggregate liability arising out of or relating to the service will be limited to the greater of GBP 100 or the fees paid by the affected customer for the service in the 12 months before the event giving rise to the claim.

13. Governing Law

Unless a separate written agreement says otherwise, these terms are governed by the laws of England and Wales. Courts in England and Wales will have jurisdiction over disputes relating to these terms, subject to any mandatory rights you may have under applicable law.
